1. Acceptance of Terms

By accessing or using the AMESYNTH Portal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

AMESYNTH provides a multi-tenant SaaS platform for agencies, consultancies, and service businesses. The Service includes client portal management, project tracking, billing and invoicing, document generation, subscription management, messaging, form building, deliverable tracking, and AI-powered features.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You must be at least 16 years old to create an account.
  • One person may not maintain more than one account without prior authorization.

4. Organization & Multi-Tenant Usage

When you create an organization on the platform, you become the organization owner. As an owner, you are responsible for:

  • Managing team member access and roles (owner, admin, member, viewer).
  • Ensuring your organization's use of the Service complies with these Terms and applicable law.
  • All content uploaded or created within your organization.
  • Client data stored within your organization's portal.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload or transmit viruses, malware, or any malicious code.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Interfere with or disrupt the Service or its infrastructure.
  • Scrape, crawl, or use automated means to access the Service without permission.
  • Use the Service to send unsolicited communications (spam).
  • Impersonate another person or entity.
  • Use AI-powered features to generate content that is illegal, harmful, or violates third-party rights.

6. Payment Terms

  • Paid features are billed according to the pricing plan selected.
  • Payments are processed through third-party providers (Stripe, PayPal). Your use of these services is subject to their respective terms.
  • All fees are non-refundable unless otherwise stated or required by law.
  • We reserve the right to change pricing with 30 days' advance notice.
  • For subscription plans, billing occurs at the start of each billing period. You may cancel at any time, with access continuing until the end of the current period.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content you upload, create, or transmit through the Service. By using the Service, you grant us a limited, non-exclusive license to host, store, and display your content solely to provide the Service to you.

7.2 Our Platform

The Service, including its design, features, code, and documentation, is owned by AMESYNTH and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7.3 AI-Generated Content

Content generated using AI features is provided "as-is." You are responsible for reviewing and approving all AI-generated content before use. You retain rights to AI-generated content created within your account, subject to applicable law.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. Client Portal & Third-Party Data

If you use the Service to manage client relationships, you are the data controller for your clients' data. You are responsible for:

  • Obtaining any required consents from your clients before adding their data to the platform.
  • Complying with applicable data protection laws (GDPR, CCPA, etc.) regarding your clients' data.
  • Responding to your clients' data access and deletion requests.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, network issues, or force majeure events.

11. Limitation of Liability

To the maximum extent permitted by law, AMESYNTH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or data loss, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

13. Indemnification

You agree to indemnify and hold AMESYNTH harmless from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

  • You may terminate your account at any time by contacting us or using the account settings.
  • We may suspend or terminate your access for violation of these Terms, with notice when practicable.
  • Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow data export, after which it will be deleted.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice within the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
